General Terms and Conditions – Professionals

1.    Purpose

1.1. This online platform (the «Platform») facilitates the connection between wellness, therapy, coaching, and yoga professionals (the «Professionals») and users (the «Users») seeking services in these fields. 

1.2. The Platform is operated under the protected brand name «SuperMe» by MyEntourage Sàrl, a Swiss limited liability company, registered under number CHE-410.574.084.

1.3. Currently, access to the Platform is restricted to three specific categories of Professionals:

· yoga teachers,

· coaches (life coaching, executive coaching, wellness coaching and parenting),

· therapists.

2. Acceptance of the General Terms and Conditions

2.1. These general terms and conditions are applicable to the Professionals («GTC-Professionals»). They define the rights and obligations of the Professional in the context of accessing and using the Platform via their personal space («Professional User Account»), as well as the Services (as defined in art. 6.1) provided by MyEntourage Sàrl.

2.2. By registering on the Platform and fully completing the registration process (onboarding process), the Professional expressly acknowledges having read, understood, and accepted to be bound by these GTC-Professionals. The Parties jointly designate MyEntourage Sàrl and the Professional.

2.3. The General Terms and Conditions applicable to Users («GTC-Users») are available at the following address: [link].

3. Access Conditions

3.1. Only individuals or legal entities authorized to practice the profession(s) for which they register on the Platform may register and use the Platform as a Professional. Access to the Platform is currently limited to the following categories of Professionals: yoga teachers, coaches (life coaching, executive coaching, wellness coaching and parenting) and therapists. These categories may evolve at any time according to criteria defined at the discretion of MyEntourage Sàrl.

3.2. If the registered Professional is a legal entity, any use of the Platform and subscription to the Services by one of its employees, agents, or representatives on behalf of the Professional constitutes acceptance of these GTC-Professionals by said Professional. Any person subscribing to the Services or using them on behalf of a legal entity declares and warrants that they are duly authorized to act in this capacity.

4. Right of Access and Use of the Platform

4.1. Principle. Subject to the Professional's compliance with all of their obligations, particularly the payment of Fees in accordance with art. 10, MyEntourage Sàrl grants the Professional a revocable, non-exclusive, and non-transferable right to access the Platform and the Services, and to use them in strict compliance with these GTC-Professionals for their own account and personal use only.

4.2. No Delivery. The Platform is provided as a SaaS service («Software as a Service»); therefore, MyEntourage Sàrl only grants the Professional a right of access and use of the Platform and does not deliver any copy of the Platform. 

4.3. Developments and modifications. The Professional acknowledges that MyEntourage Sàrl may make modifications to the Platform or Services, which may include changes to the layout or functionalities of the Platform. If, as part of the Services, MyEntourage Sàrl customizes, develops, or makes available additional functionalities of the Platform, or provides patches, bug fixes, updates, or upgrades to the Platform, these developments will automatically become part of the Platform, unless otherwise stipulated by MyEntourage Sàrl.

5. Professional User Account

5.1. Account. In order to access and use the Platform, the Professional must have created a Professional User Account and be logged into this Professional User Account.

5.2. Information and supporting documents. The Professional undertakes: 

· to provide accurate and complete information regarding their identity, education, professional qualifications, and, where applicable, their right to practice, as requested during the registration process on the Platform and in compliance with the applicable ethics, rules defined by their profession and/or professional order;

· without limitation, not to create a false identity that could mislead MyEntourage Sàrl or third parties, not to falsely claim a right to practice, and not to impersonate another natural or legal person;

· to immediately update, in case of modification, the information they have provided; and

· to provide MyEntourage Sàrl, upon first request, any supporting document that allows verification of the provided information, including but not limited to:

• a copy of a diploma, certificate, or recognized professional training in the field of activity practiced;
• a curriculum vitae detailing their skills and experience;
• a sworn statement attesting to the truthfulness of the provided information;
• for therapists: a certificate of compliance with the applicable regulations in their country of practice as well as proof of professional liability insurance covering their services;
• any other document required by MyEntourage Sàrl allowing verification of the provided information.

5.3. MyEntourage Sàrl is entitled to verify and/or have verified, by a specialized third-party provider, the identity of each account holder, notably by requesting the transmission of any useful document allowing verification of their identity and, where applicable, their right to practice.

5.4. In the event that the Professional provides false, inaccurate, outdated, incomplete, or misleading information, MyEntourage Sàrl may, immediately without notice or compensation, suspend or terminate the Professional User Account and refuse access, temporarily or permanently, to all or part of the Platform and Services.

5.5. Confidentiality. The Professional is responsible for the confidentiality of the provided identifiers and must immediately inform MyEntourage Sàrl of any loss or unauthorized disclosure of these, which will then be deactivated and replaced by MyEntourage Sàrl. MyEntourage Sàrl may charge a fee for the replacement of any identifier.

6. Special Conditions of Services

6.1. Services. The Services provided by MyEntourage Sàrl include access to and use of the Platform, as well as all functionalities and tools made available to Professionals in this context. They notably include:

o    connecting with Users;

o    managing appointments (online or in-person);

o    organizing teleconsultations via integrated tools;

o    billing and administrative tracking of services;

o    visibility on the Platform through a personalized profile;

o    access to resources, content, or professional support services;

o    any other complementary service offered occasionally or permanently by MyEntourage Sàrl.

6.2. Maintenance and availability of the Services. As part of the provision of the Platform, MyEntourage Sàrl undertakes to provide maintenance services for the Platform in order to identify and resolve issues that may negatively impact its proper functioning and availability. These services include repairs (correction of defects and errors to restore functionality) and maintenance (upkeep to maintain functionality). Generally, maintenance services are deployed during maintenance windows announced in advance, during which the Services may be wholly or partially unavailable. MyEntourage Sàrl may, however, intervene without prior notice when circumstances justify it.

6.3. Although MyEntourage Sàrl continuously improves the Services, the Professional cannot claim, within the scope of maintenance services, any development, adaptation, or improvement of these (evolutionary maintenance), or additional Services (which may be provided within the framework of art. MyEntourage Sàrl will consider the evolution requests made by the Professional but does not commit to their realization.

6.4. MyEntourage Sàrl strives to maintain the availability of the Platform and Services, without guaranteeing it.

7. Obligations of the Professional

7.1. Payment of Fees. The Professional must pay the Fees in accordance with the conditions set out in art. 10.1.

7.2. Legal, Regulatory and Professional Compliance. The Professional undertakes to comply with all laws, regulations, and ethical obligations applicable to the exercise of his activity, as well as to the use of the Services offered via the Platform. He declares that he possesses the authorizations, qualifications, and skills required to practice in his field, and guarantees their validity throughout the duration of the use of the Services.

7.3. Use of Services. The Professional uses the Services in compliance with these GTC-Professionals. In particular, he is prohibited, without prior written authorization from MyEntourage Sàrl, during the entire duration of his access to the Platform and after its termination:

• From using the Services for illegal purposes or in a manner that could harm the reputation of MyEntourage Sàrl;

• From using the Services for the account or benefit of third parties;

• From attempting to copy, modify, create derivative works, publish, transmit, distribute, or make accessible any part of the Services, the Platform or their infrastructure to any third party;

• From introducing any malicious software into the Platform or its infrastructure;

• From accessing or attempting to access the source code of the Platform, using decomplication techniques, reverse engineering or any other means whatsoever, subject to mandatory law; or

• From using any part of the Services to create a competing product or service or to copy their features or user interface.

7.4. Specific Professional Obligations. The Professional undertakes to:

• provide quality services, in accordance with the ethical and deontological rules of his profession. The Professional is informed that any behavior deemed inappropriate, unethical, disrespectful or non-compliant with these GTC -Professionals may be reported by a User or a third party. MyEntourage Sàrl reserves the right to investigate any report received and to take appropriate measures, including warning, temporary suspension or deletion of the account of the concerned Professional;

• strictly respect appointments made with Users and honor his contractual commitments. Any cancellation must be justified, notified within a reasonable time and, as far as possible, accompanied by a replacement solution;

• refrain from accepting or continuing a service when there is a real or potential conflict of interest, particularly if he has a personal, family or professional relationship with the User, or with a third party directly involved in the User's situation. In such case, the Professional undertakes to inform MyEntourage Sàrl without delay and, if necessary, to withdraw from the concerned support;

• take appointments with Users exclusively via the Platform, unless prior written authorization from MyEntourage Sàrl. Any attempt to circumvent this system is prohibited and constitutes a violation of these GTC -Professionals;

• ensure that the information provided on his profile is accurate, complete, up-to-date, and reflects his actual qualifications, experiences, and availability;

• write a brief report of his session, on an anonymous basis, to MyEntourage Sàrl, which will describe in particular the improvement measures that could be brought to the Platform or additional services that could be integrated into it. The report may compile several sessions and will be submitted, upon request from MyEntourage Sàrl, at most twice per calendar year.

7.5. Non-solicitation. The Professional expressly undertakes not to solicit, contact, divert or directly conclude, in whole or in part, a service with a User met or identified through the Platform, for the entire duration of his access to the Platform and Services and for a period of twelve (12) months following the last service performed via the Platform. This prohibition applies regardless of the means of contact used (professional or personal email, telephone, social networks, etc.), without using the booking tools integrated into the Platform, including if the Professional acts in an individual capacity, on behalf of a third party, or a separate legal entity. In case of violation of this clause, MyEntourage Sàrl shall be entitled to claim from the Professional, as a penalty clause, a lump sum compensation equivalent to the total estimated amount of the services concerned with a minimum of CHF 500 per infringement, without prejudice to any other damages that MyEntourage Sàrl may claim.

7.6. Security measures of the Professional. The Professional must protect against the risks of data, file, and program loss or hacking by using regularly updated antivirus software. He must also restrict access and observe the utmost confidentiality regarding access methods to the Services and data, whatever they may be, and generally secure these access methods to prevent unauthorized use of the Services.

7.7. Education and authorizations. The Professional is required to possess and maintain the necessary authorizations for his use of the Services. In particular, the Professional guarantees that he is entitled to provide the services in connection with which he uses the Platform.

7.8. Verifications. The Platform may contain tools allowing MyEntourage Sàrl to verify the Professional's compliance with these GTC-Professionals, and MyEntourage Sàrl has the right to temporarily or permanently suspend access to the Services and/or deactivate any identifier issued for their use in case of non-compliance with these GTC-Professionals.

8. Intellectual Property of MyEntourage Sàrl

8.1. Principle. MyEntourage Sàrl remains the exclusive owner of all copyrights, databases, trademarks (including the trademark "SuperMe"), domain names, designs and invention patents, know-how, confidentiality and/or trade secrets, and all other intellectual property rights or similar rights of any nature whatsoever ("Intellectual Property Rights") related to the Platform and the Services provided. No provision of these GTC-Professionals constitutes a transfer or assignment of the Intellectual Property Rights to the Professional.

8.2. Notification of Violations. If the Professional becomes aware of a violation or an imminent risk of violation of any Intellectual Property Rights related to the Services, he must immediately inform MyEntourage Sàrl and provide all useful information regarding this violation or risk of violation. MyEntourage Sàrl is solely authorized to decide on any action to be taken. The Professional shall provide MyEntourage Sàrl, at his own expense, with all assistance reasonably required by MyEntourage Sàrl to protect its Intellectual Property Rights, in accordance with MyEntourage Sàrl's instructions.

8.3. Claims by third parties. If a third party asserts claims against the Professional or against MyEntourage Sàrl related to an infringement of their Intellectual Property Rights, connected to the use of the Services by the Professional and its authorized Users, or if MyEntourage Sàrl has reasons to believe that a third party might assert such rights, MyEntourage Sàrl may, at its discretion, without obligation, (i) acquire the necessary rights to allow the Professional to continue using the relevant Services, in accordance with these GTC-Professionals; (ii) modify the relevant Services in such a way that they do not infringe or no longer infringe the rights of the concerned third party; (iii) replace the relevant Services at any time with other reasonably equivalent software or services; or (iv) withdraw the Professional's rights to access and use the relevant Services, in which case MyEntourage Sàrl will reimburse the Professional for any fees already paid in connection with the relevant Services (provided that no fault is attributable to the Professional and subject to deduction for customary depreciation during the period of use) and these GTC-Professionals will terminate with respect to the relevant Services only. Any liability of MyEntourage Sàrl is otherwise excluded if the third party claims are related to the actions or inactions of the Professional or third parties.

9. Third-party content and integrations with third-party services

9.1. Certain Services offered via the Platform may integrate content, software, or functionalities provided by third-party partners or providers (for example, payment interfaces). In this context, the terms of use of these third-party services may apply, and the Professional agrees to comply with them. The Professional may manage the activated integrations or disable the dissemination of their information on these platforms from their Account at any time.

10. Financial conditions

10.1. Royalties. The Professional's use of the Platform and Services gives rise to the payment of royalties (“Royalties”), which will be deducted from each transaction carried out via the Platform, particularly during payments by Users. The Royalties are as follows for each Service:

• A minimum of 20% with a minimum of 20 Euros per session.

10.2. Payment Terms. Unless otherwise stated, Royalties are payable immediately. Royalties are non-refundable, even in the event of early termination by the Professional. Payment is made by the payment platform automatically.

10.3. Taxes. All amounts mentioned are exclusive of taxes. VAT and any other applicable tax will be added and invoiced in addition, in accordance with the legislation in force.

11. Data Protection

11.1.Privacy Policy. MyEntourage Sàrl has posted a privacy policy, accessible [link], which describes how personal data is collected through the Platform and for what purposes. This privacy policy is an integral part of these GTC-Professionals.

11.2. Compliance. MyEntourage Sàrl and the Professional fully comply with their respective obligations under applicable data protection laws and regulations.

12. Confidentiality

12.1. Confidentiality Undertaking. Each Party undertakes to keep strictly confidential all non-public information exchanged within the framework of their contractual relationship.

Such information must not, unless prior written agreement of the disclosing Party, be communicated to any third party. This obligation does not apply to information (i) that was already publicly accessible without violation of this undertaking; or (ii) whose disclosure is required by a judicial or administrative decision, or by a legal obligation, provided that the receiving Party informs the disclosing Party in advance and without delay (unless legally prohibited), and takes all reasonable measures to limit the scope and preserve their confidential nature.

The confidentiality obligation remains in effect throughout the duration of the Professional's use of the Platform and Services, and for a period of 5 years from the end of such use, regardless of the cause (Un subscription, termination of subscription, account deletion, etc.)

12.2. User Data. The Professional is required to maintain strict confidentiality of personal, sensitive, or medical data (if applicable) of Users that they process within the framework of the Services. This confidentiality obligation specifically covers:

· the identification and contact details of Users;

· any content exchanged during sessions or consultations (whether conducted online or in person), including elements shared orally, in writing, via files, or recorded in any form;

· notes, observations, or any other content generated in the context of supporting one or more Users.

The Professional undertakes not to disclose, transfer, or exploit this information for purposes other than the performance of authorized services on the Platform. Any unauthorized disclosure or breach of this obligation constitutes a violation of these GTC-Professionals and may result in:

· contractual sanctions (such as suspension or deletion of the account),

· as well as civil or criminal proceedings in accordance with applicable Swiss law.

13. Marketing and Advertising

13.1. MyEntourage Sàrl may communicate that the Professional is a user of the Platform. The Professional grants MyEntourage Sàrl a limited license to use their name, logos, and trademarks solely for the purpose of referring to them in the context of its marketing activities.

14. MyEntourage Sàrl Warranties

14.1. The Services are provided “as is” and “as available”.

14.2. To the extent permitted by applicable law, MyEntourage Sàrl offers no warranty, express or implied, legal or contractual, regarding the Services, particularly concerning:

· their quality, performance, or suitability for a particular use by the Professional;

· their continuous accessibility or operation without interruption or error;

· the correction of any defect or malfunction;

· the permanent compatibility of the Services with third-party tools, systems, or products, even if they were previously compatible;

· the uninterrupted or unchanged availability of the Services over time, including the availability of certain subscription models or specific features.

15. Liability of MyEntourage Sàrl

15.1. PRINCIPLE. TO THE EXTENT PERMITTED BY APPLICABLE LAW, MYENTOURAGE SARL DISCLAIMS ALL LIABILITY FOR DIRECT OR INDIRECT DAMAGES SUFFERED BY THE PROFESSIONAL OR THIRD PARTIES, RESULTING IN PARTICULAR FROM SIMPLE NEGLIGENCE, WHETHER ON ITS PART OR THAT OF ITS SERVICE PROVIDERS, PARTNERS, OR SUBCONTRACTORS. MYENTOURAGE SARL CAN ONLY BE HELD LIABLE IN CASE OF GROSS NEGLIGENCE OR PROVEN FRAUD ON ITS PART.

IN PARTICULAR, MYENTOURAGE SARL IS NOT LIABLE IN CASE OF SIMPLE NEGLIGENCE, NOR FOR INDIRECT, CONSEQUENTIAL, UNFORESEEABLE, OR MEDIATE DAMAGES OR LOSSES, WHETHER OR NOT IT HAS BEEN INFORMED OF THEIR POSSIBILITY. THIS EXCLUSION APPLIES TO ANY DAMAGE RELATED, DIRECTLY OR INDIRECTLY, TO THE USE, PERFORMANCE, OR NON-PERFORMANCE OF THE SERVICES OR ANY OTHER SERVICE OFFERED BY MYENTOURAGE SARL, REGARDLESS OF THE NATURE OF THE ACTION OR CLAIM.

15.2. Intermediary. MyEntourage Sàrl acts exclusively as an intermediary between Users and Professionals. In this capacity:

· it does not provide any care, therapy, coaching, or wellness services;

· it does not guarantee the quality, effectiveness, or legality of the services provided by the Professionals;

· she is not liable for the consequences of a poor evaluation of the Professional by a User, nor for any disputes, conflicts, or damages arising between these two parties;

· any claim relating to a service must be addressed directly to the Professional concerned.

15.3. Use of Services. The use of the Services is entirely under the exclusive responsibility of the Professional. MyEntourage Sàrl gives no warranty as to the results or decisions arising from the use of the Services. It is not liable:

· damages resulting from use that is non-compliant or contrary to these General Terms and Conditions;

· nor from the unlawful or abusive use of the Services by the Professional.

The Professional remains fully liable towards the Users and conducts his activity with complete independence, in accordance with the legal, ethical, and regulatory obligations applicable to him.

15.4. Use of the Internet. The use of the Internet involves risks, including the possibility that transmitted data may be intercepted, altered, or deleted. By using the Platform, the Professional accepts these risks. MyEntourage Sàrl disclaims all liability in this regard. MyEntourage Sàrl shall not be held liable for the temporary or permanent unavailability of the Services due to technical causes, maintenance operations, or events beyond its control.

15.5. Limitation of liability. To the extent permitted by applicable law, the total liability of MyEntourage Sàrl, for any 12-month period, is limited to the total amount of fees actually paid by the Professional during the 12 months preceding the damaging event.

15.6. Auxiliaries. The exclusions and limitations provided in this article 15 extend to the directors, officers, employees, representatives, subcontractors, and auxiliaries of MyEntourage Sàrl.

16.Compensation

16.1. INDEMNIFICATION. THE PROFESSIONAL AGREES TO DEFEND, HOLD HARMLESS, AND INDEMNIFY MYENTOURAGE SARL, ITS DIRECTORS, OFFICERS, EMPLOYEES, SUBCONTRACTORS, AND AGENTS, FROM ANY LIABILITY, LOSS, COST, DAMAGE, OR EXPENSE, INCLUDING ATTORNEY'S FEES, ARISING FROM:

• THE PROFESSIONAL'S USE OF THE SERVICES OTHER THAN AS AUTHORIZED BY THESE GTC-PROFESSIONALS AND IN STRICT COMPLIANCE WITH ANY DOCUMENTATION PROVIDED FOR THE SERVICES;

• THE PRACTICE BY THE PROFESSIONAL OR THEIR STAFF OF THEIR PROFESSION, INCLUDING ANY CLAIMS FROM PATIENTS.

16.2. INDEMNIFICATION PROCEDURES. IN THE EVENT OF CLAIMS OR PROCEEDINGS BROUGHT AGAINST MYENTOURAGE SARL, ITS DIRECTORS, OFFICERS, EMPLOYEES, SUBCONTRACTORS, OR AGENTS IN CONNECTION WITH THE PROFESSIONAL'S USE OF THE SERVICES, MYENTOURAGE SARL SHALL (I) NOTIFY THE PROFESSIONAL WITHOUT UNDUE DELAY; AND (II) ALLOW THE PROFESSIONAL TO ASSIST MYENTOURAGE SARL IN THE DEFENSE AND SETTLEMENT OF SUCH CLAIMS OR PROCEEDINGS WITH A LAWYER OF THEIR CHOICE AND AT THEIR OWN EXPENSE, IF AND AS PERMITTED BY THE APPLICABLE PROCEDURAL RULES.

17. Duration and Termination

17.1. Effective Date. These GTC-Professionals shall become effective upon their acceptance by the Professional during registration or their first use of the Platform Services.

17.2. Duration. Access to the Services is granted as long as the Professional is registered on the Platform and meets the conditions.

17.3. Termination. Each Party may terminate the Professional's registration on the Platform at any time, subject to a 20 workable day notice before the end of the current period. The Professional may exercise their right of termination:

• via the management tool available in their personal space on the Platform;

• or by submitting a request using the [termination form] available here: [link]

17.4. Termination for Just Cause. MyEntourage Sàrl reserves the right to suspend or terminate access to the Platform and Services, with immediate effect, in the event of a serious breach of these General Conditions by the Professional. If the breach can reasonably be remedied, a written notice of 7 days will be sent to the Professional to rectify it. If satisfactory correction is not made within this period, the termination will take effect automatically.

MyEntourage Sàrl may also terminate the Professional's access in the event of a risk or finding of infringement of third-party rights (notably in terms of intellectual property, personal data, or unfair competition) resulting from the use of the Services.

17.5. Effects of Termination. In the event of termination or non-renewal of the Professional's subscription, and without prejudice to other provisions provided in these General Conditions:

• MyEntourage Sàrl will cease providing the Services, and the Professional will immediately stop using the Platform;

• all access and usage rights granted to the Professional will automatically end; their credentials will be deactivated and deleted;

• fees already paid will remain with MyEntourage Sàrl and will not be refunded. The Professional must promptly pay any outstanding amounts;

• the provisions of these General Conditions which, by their nature, are intended to continue to apply (notably those relating to confidentiality, data protection, financial obligations, and limitation of liability) will remain in effect.

18.Miscellaneous

18.1. Independence. The Parties are independent of each other, and neither Party has the right or authority to bind or obligate the other. No provision of these GTC-Professionals shall be construed as creating an employment contract, mandate, agency relationship, simple partnership contract, or any other form of association between the Parties.

18.2. Subcontractors. MyEntourage Sàrl may engage subcontractors for the provision of the Services. The use of subcontractors by MyEntourage Sàrl does not release it from its obligations under these terms, which are imposed on the subcontractors.

18.3. Force Majeure. Neither Party shall be deemed in default if the performance of its obligations (except for its payment obligations), in whole or in part, is delayed or prevented due to a force majeure event such as a natural disaster of particular intensity, war, epidemic, riot, strike, hacking, or electrical or Internet network failure, or any other cause reasonably beyond its control.

18.4. Modification. MyEntourage Sàrl reserves the right to modify these GTC-Professionals, by email notice to the professionals. In the absence of termination, these modifications will take effect at the beginning of the next renewal period.

19.Applicable Law and Jurisdiction

19.1. Applicable Law These GTC-Professionals and the provision of the Services are governed by substantive Swiss law, to the exclusion of its conflict of law rules.

19.2. Jurisdiction. Any dispute relating to the GTC-Professionals or the Services shall be subject to the exclusive jurisdiction of the competent courts at the registered office of MyEntourage Sàrl, in Switzerland.

1. Objet

1.1. La présente plateforme en ligne (la «Plateforme ») permet la mise en relation entre des professionnels du bien-être, de la thérapie, du coaching et du yoga (les « Professionnels ») et des utilisateurs (les «Utilisateurs ») recherchant des services dans ces domaines.

1.2. La Plateforme est exploitée sous la marque protégée « SuperMe » par MyEntourage Sàrl, une société à responsabilité limitée de droit suisse, enregistrée sous le numéro CHE-410.574.084.

1.3. Actuellement, l’accès à la Plateforme est réservé à trois catégories spécifiques de Professionnels :

· les enseignants de yoga,

· les coachs (life coaching, executive coaching, wellness coaching et parenting),

· les thérapeutes.

2. Acceptation des Conditions Générales

2.1. Les présentes conditions générales sont applicables aux Professionnels (« CG-Professionnels »). Elles définissent les droits et obligations du Professionnel dans le cadre de l’accès et de l’utilisation de la Plateforme via leur espace personnel (« Compte d’Utilisateur Professionnel »), ainsi que des Services (tels que définis à l’art. 6.1) mis à disposition par MyEntourage Sàrl.

2.2. En s’inscrivant sur la Plateforme et en exécutant intégralement le processus d’inscription (onboarding process), le Professionnel reconnaît expressément avoir lu, compris et accepté d’être lié par les présentes CG-Professionnels. Les Parties désignent conjointement MyEntourage Sàrl et le Professionnel.

2.3. Les Conditions Générales applicables aux Utilisateurs (« CG-Utilisateurs ») sont disponibles à l’adresse suivante : [lien].

3. Conditions d’accès

3.1. Seul peut s’inscrire et utiliser la Plateforme en tant que Professionnel, la personne physique ou morale autorisée à exercer la ou les professions pour lesquelles elle s’enregistre sur la Plateforme. L’accès à la Plateforme est actuellement limité aux catégories suivantes de Professionnels : enseignants de yoga, coachs (life coaching, executive coaching, wellness coaching et parenting) et thérapeutes. Ces catégories peuvent évoluer en tout temps selon les critères définis de manière discrétionnaire par MyEntourage Sàrl.

3.2. Si le Professionnel inscrit est une personne morale, toute utilisation de la Plateforme et souscription aux Services par l'un de ses employés, agents ou représentants, pour le compte du Professionnel, vaut une acceptation des présentes CG-Professionnels par ledit Professionnel. Toute personne souscrivant aux Services ou les utilisant au nom d’une personne morale déclare et garantit être dûment autorisée à agir en ce sens.

4. Droit d'accès et d'utilisation de la Plateforme

4.1. Principe. Sous réserve du respect par le Professionnel de l'ensemble de ses obligations, en particulier le paiement des Redevances conformément à l’art. 10, MyEntourage Sàrl accorde au Professionnel un droit révocable, non exclusif et non transférable d’accéder à la Plateforme et aux Services, et de les utiliser en stricte conformité avec les présentes CG-Professionnels pour son propre compte et son usage personnel uniquement.

4.2. Absence de livraison. La Plateforme est fournie en tant que prestation SaaS (« Software as a Service ») ; par conséquent, MyEntourage Sàrl ne concède au Professionnel qu'un droit d'accès et d'utilisation de la Plateforme et ne livre aucune copie de la Plateforme.

4.3. Développements et modifications. Le Professionnel reconnaît que MyEntourage Sàrl peut apporter des modifications à la Plateforme ou aux Services, ce qui peut inclure des modifications de la mise en page ou des fonctionnalités de la Plateforme. Si, dans le cadre des Services, MyEntourage Sàrl personnalise, développe ou met à disposition des fonctionnalités supplémentaires de la Plateforme, ou fournit des correctifs, des corrections de bogues, des mises à jour ou des mises à niveau de la Plateforme, ces développements feront automatiquement partie de la Plateforme, sauf stipulation contraire de MyEntourage Sàrl.

5. Compte d’Utilisateur Professionnel

5.1. Compte. Afin d'accéder et d'utiliser la Plateforme, le Professionnel doit avoir créé un Compte d’Utilisateur Professionnel et être connecté à ce Compte d’Utilisateur Professionnel.

5.2. Informations et justificatifs. Le Professionnel s’engage :

· à fournir des informations exactes et complètes sur son identité, sa formation, ses qualifications professionnelles et le cas échéant, sur son droit d’exercice, demandées dans le cadre du processus d’inscription sur la Plateforme et conformes à la déontologie applicable, aux règles définies par sa profession et/ou son ordre professionnel ;

· sans limitation, à ne pas créer une fausse identité de nature à induire MyEntourage Sàrl ou les tiers en erreur, à ne pas revendiquer de façon erronée un droit d’exercice, et à ne pas usurper l'identité d'une autre personne physique ou morale ;

· à mettre immédiatement à jour, en cas de modification, les informations qu'il a communiquées ; et

· à transmettre à MyEntourage Sàrl, à sa première demande, tout justificatif permettant de vérifier les informations fournies, notamment et sans limitation :

o une copie d’un diplôme, d’un certificat ou d’une formation professionnelle reconnue dans le domaine d’activité exercé ;

o un curriculum vitae détaillant ses compétences et son expérience ;

o une déclaration sur l’honneur attestant de la véracité des informations transmises ;

o pour les thérapeutes : une attestation de conformité à la réglementation applicable dans leur pays de pratique ainsi qu’une preuve d’assurance responsabilité civile professionnelle couvrant leurs prestations ;

o out autre document requis par MyEntourage Sàrl permettant de vérifier les informations fournies.

5.3. MyEntourage Sàrl est en droit de vérifier et/ou de faire vérifier, par un prestataire tiers spécialisé, l’identité de chaque titulaire de compte, notamment en demandant la transmission de tout document utile permettant d’attester de son identité et, le cas échéant, de son droit d’exercice.

5.4. Dans l'hypothèse où le Professionnel fournit des informations fausses, inexactes, obsolètes, incomplètes ou de nature à induire en erreur, MyEntourage Sàrl pourra, immédiatement sans préavis ni indemnité, suspendre ou résilier le Compte d’Utilisateur Professionnel et refuser l'accès, de façon temporaire ou définitive à tout ou partie de la Plateforme et des Services. 

5.5. Confidentialité. Le Professionnel est responsable de la confidentialité des identifiants fournis et doit informer immédiatement MyEntourage Sàrl de toute perte ou divulgation non autorisée de ceux-ci, qui seront alors désactivés et remplacés par MyEntourage Sàrl. MyEntourage Sàrl peut facturer des frais pour le remplacement de tout identifiant.

6. Conditions particulières des Services

6.1. Services. Les Services fournis par MyEntourage Sàrl incluent l’accès et l’utilisation de la Plateforme, ainsi que l’ensemble des fonctionnalités et outils mis à disposition des Professionnels dans ce cadre. Ils comprennent notamment :

o la mise en relation avec des Utilisateurs ;

o la gestion des rendez-vous (en ligne ou en présentiel) ;

o l’organisation de téléconsultations via des outils intégrés ;

o la facturation et le suivi administratif des prestations ;

o la visibilité sur la Plateforme à travers un profil personnalisé ;

o  l’accès à des ressources, contenus ou services d’accompagnement professionnels ;

o tout autre service complémentaire proposé ponctuellement ou durablement par MyEntourage Sàrl.

6.2. Maintenance et disponibilité des Services. Dans le cadre de la mise à disposition de la Plateforme, MyEntourage Sàrl s’engage à fournir des prestations de maintenance de la Plateforme afin d’identifier et de résoudre les problèmes pouvant impacter négativement leur bon fonctionnement et disponibilité. Ces prestations comprennent les réparations (rectification des défauts et des erreurs pour rétablir la fonctionnalité) et l'entretien (maintenance pour maintenir la fonctionnalité). En règle générale, les prestations de maintenance sont déployées pendant les fenêtres de maintenance annoncées à l’avance, périodes durant lesquelles les Services peuvent être totalement ou partiellement indisponibles. MyEntourage Sàrl peut néanmoins intervenir sans préavis lorsque les circonstances le justifient.

6.3. Bien que MyEntourage Sàrl améliore continuellement les Services, le Professionnel ne peut prétendre, dans le cadre des prestations de maintenance, à toute prestation de développement, adaptation ou amélioration de ceux-ci (maintenance évolutive), ou à des Services supplémentaires (qui peuvent cas échéant être fournis dans le cadre de l'art. 6.6). MyEntourage Sàrl prendra en considération les demandes d'évolution formulées par le Professionnel, mais ne s'engage pas sur leur réalisation.

6.4. MyEntourage Sàrl s’efforce de maintenir la disponibilité de la Plateforme et des Services, sans toutefois la garantir.

7. Obligations du Professionnel

7.1. Paiement des Redevances. Le Professionnel doit acquitter les Redevances conformément aux conditions énoncées à l’art. 10.1.

7.2. Conformité légale, règlementaire et professionnelle. Le Professionnel s’engage à se conformer à toutes les lois, règlements et obligations déontologiques applicables à l’exercice de son activité, ainsi qu’à l’utilisation des Services proposés via la Plateforme. Il déclare disposer des autorisations, qualifications et compétences requises pour exercer dans son domaine, et garantir leur validité pendant toute la durée d’utilisation des Services.

7.3. Utilisation des Services. Le Professionnel utilise les Services dans le respect des présentes CG-Professionnels. En particulier, il s’interdit, sans autorisation écrite préalable de MyEntourage Sàrl, pendant toute la durée de son accès à la Plateforme et après la fin de celui-ci :

• D’utiliser les Services à des fins illicites ou qui seraient susceptibles de nuire à la réputation de MyEntourage Sàrl ;

• D’utiliser les Services pour le compte ou le bénéfice de tiers ;

• De tenter de copier, modifier, créer des œuvres dérivées, publier, transmettre, distribuer, ou rendre accessible tout ou partie des Services, de la Plateforme ou de leur infrastructure à disposition de tout tiers ;

• D’introduire tout logiciel malveillant dans la Plateforme ou son infrastructure ;

• D’accéder ou chercher à accéder au code source de la Plateforme, en ayant recours à des techniques de décompilation, d’ingénierie inverse ou quelque autre moyen que ce soit, sous réserve du droit impératif ; ou

• D’utiliser toute partie des Services dans le but de créer un produit ou un service concurrent ou de copier leurs caractéristiques ou leur interface utilisateur.

7.4. Obligations professionnelles spécifiques. Le Professionnel s’engage à :

• fournir des prestations de qualité, conformes aux règles éthiques et déontologiques de sa profession. Le Professionnel est informé que tout comportement jugé inapproprié, contraire à l’éthique, irrespectueux ou non conforme aux présentes CG-Professionnels peut faire l’objet d’un signalement par un Utilisateur ou par un tiers. MyEntourage Sàrl se réserve le droit d’enquêter sur tout signalement reçu et de prendre, le cas échéant, les mesures appropriées, incluant notamment l’avertissement, la suspension temporaire ou la suppression du compte du Professionnel concerné ;

• respecter strictement les rendez-vous pris avec les Utilisateurs et honorer ses engagements contractuels. Toute annulation doit être justifiée, notifiée dans un délai raisonnable et, dans la mesure du possible, accompagnée d’une solution de remplacement ;

• s’abstenir d’accepter ou de poursuivre une prestation lorsqu’il existe un conflit d’intérêts réel ou potentiel, notamment s’il entretient une relation personnelle, familiale ou professionnelle avec l’Utilisateur, ou avec un tiers directement impliqué dans la situation de l’Utilisateur. Dans ce cas, le Professionnel s’engage à en informer sans délai MyEntourage Sàrl et, le cas échéant, à se retirer de l’accompagnement concerné ;

• prendre exclusivement ses rendez-vous avec les Utilisateurs via la Plateforme, sauf autorisation écrite préalable de MyEntourage Sàrl. Toute tentative de contournement de ce système est interdite et constitue une violation des présentes CG-Professionnels ;

• garantir que les informations renseignées sur son profil sont exactes, complètes, à jour, et reflètent ses qualifications, expériences et disponibilités réelles ;

• rédiger un bref rapport de sa session, sur une base anonyme, à l’attention de MyEntourage Sàrl, qui décrira notamment les mesures d’amélioration qui pourraient être apportées à la Plateforme ou des services complémentaires qui pourraient y être intégrés. Le rapport pourra compiler plusieurs séances et sera remis, sur requête de MyEntourage Sàrl, au maximum deux fois par année calendaire.

7.5. Non-sollicitation. Le Professionnel s’engage expressément à ne pas solliciter, contacter, détourner ou conclure directement, en tout ou en partie, une prestation avec un Utilisateur rencontré ou identifié par l’intermédiaire de la Plateforme, pendant toute la durée de son accès à la Plateforme et aux Services et pendant une période de douze (12) mois suivant la dernière prestation réalisée via la Plateforme. Cette interdiction s’applique quel que soit le moyen de contact utilisé (email professionnel ou personnel, téléphone, réseaux sociaux, etc.), sans passer par les outils de réservation intégrés à la Plateforme y compris si le Professionnel agit à titre individuel, au nom d’un tiers ou d’une entité juridique distincte. En cas de violation de cette clause, MyEntourage Sàrl sera en droit de réclamer au Professionnel, à titre de clause pénale, une indemnité forfaitaire équivalente au montant total estimé des prestations concernées, avec un minimum de CHF 500 par infraction, sans préjudice de tous autres dommages et intérêts que MyEntourage Sàrl pourrait réclamer.

7.6. Mesures de sécurité du Professionnel. Le Professionnel doit se prémunir contre les risques de perte ou de piratage de données, fichiers et programmes en utilisant des progiciels antivirus régulièrement mis à jour. Il doit également restreindre l’accès et observer la plus grande confidentialité s’agissant des modes d’accès aux Services et aux données, quels qu’ils soient, et d’une manière générale, à sécuriser ces modes d’accès afin d’empêcher une utilisation non autorisée des Services.

7.7. Formation et autorisations. Le Professionnel est tenu de disposer et de maintenir les autorisations nécessaires à son utilisation des Services. En particulier, le Professionnel garantit qu’il est en droit de fournir les prestations en lien avec lesquelles il utilise la Plateforme.

7.8. Vérifications. La Plateforme peut contenir des outils permettant à MyEntourage Sàrl de vérifier le respect des présentes CG-Professionnels par le Professionnel et MyEntourage Sàrl a le droit de suspendre temporairement ou définitivement l'accès aux Services et/ou de désactiver tout identifiant délivré pour l'utilisation de ceux-ci en cas de non-respect des présentes CG-Professionnels.

8. Propriété intellectuelle de MyEntourage Sàrl

8.1. Principe. MyEntourage Sàrl reste propriétaire exclusif de tous les droits d’auteurs, bases de données, marques (notamment la marque « SuperMe »), noms de domaine, designs et brevets d'invention, savoir-faire, confidentialité et/ou les secrets d'affaires, et tous les autres droits de propriété intellectuelle ou similaires de quelque nature que ce soit (« Droits de Propriété Intellectuelle ») relatifs à la Plateforme et aux Services fournis. Aucune disposition des présentes CG-Professionnels n'opère une cession ou un transfert des Droits de Propriété Intellectuelle au Professionnel.

8.2. Notification de violations. Si le Professionnel prend connaissance d'une violation ou d'un risque imminent de violation de tout Droit de Propriété Intellectuelle relatif aux Services, il doit immédiatement en informer MyEntourage Sàrl et lui fournir toutes les informations utiles sur cette violation ou ce risque de violation. MyEntourage Sàrl est seul habilité à décider de toute action à entreprendre. Le Professionnel fournit à MyEntourage Sàrl, à ses frais, toute l'assistance raisonnablement requise par MyEntourage Sàrl pour protéger ses Droits de Propriété Intellectuelle, conformément aux instructions de MyEntourage Sàrl.

8.3. Prétentions de tiers. Si un tiers fait valoir contre le Professionnel ou contre MyEntourage Sàrl des prétentions en lien avec une violation de ses Droits de Propriété Intellectuelle, liée à l’utilisation des Services par le Professionnel et ses Utilisateurs autorisés, ou si MyEntourage Sàrl a des raisons de supposer qu’un tiers puisse faire valoir de tels droits, MyEntourage Sàrl peut, à son choix, sans en avoir l’obligation, (i) acquérir les droits nécessaires pour permettre au Professionnel de continuer à utiliser les Services concernés, selon les présentes CG-Professionnels; (ii) changer les Services concernés d’une manière à ce qu’ils ne violent pas ou plus les droits du tiers concerné; (iii) remplacer en tout temps les Services concernés par d’autres logiciels ou services raisonnablement équivalents; ou (iv) retirer au Professionnel les droits d’accéder aux et utiliser les Services concernés, auquel cas MyEntourage Sàrl remboursera au Professionnel les éventuels frais qu’il aurait déjà payés en lien avec les Services concernés (pour autant qu’aucune faute ne lui suit imputable et moyennant déduction de l’amortissement d’usage pendant la durée de l’usage) et les présentes CG-Professionnels prendront fin par rapport aux Services concernés uniquement. Toute responsabilité de MyEntourage Sàrl est au demeurant exclue si les prétentions de tiers sont liées aux agissements ou à l’inaction du Professionnel ou de tiers.

9. Contenus de tiers et intégrations auprès de services tiers

9.1. Certains Services proposés via la Plateforme peuvent intégrer des contenus, logiciels ou fonctionnalités fournis par des partenaires ou des prestataires tiers (par exemple les interfaces de paiement). Dans ce cadre, les conditions d’utilisation de ces services tiers peuvent s’appliquer, et le Professionnel s’engage à les respecter. Le Professionnel peut à tout moment gérer les intégrations activées ou désactiver la diffusion de ses informations sur ces plateformes depuis son Compte .

10. Conditions financières

10.1. Redevances. L’utilisation de la Plateforme et des Services par le Professionnel donne lieu au paiement de redevances (« Redevances »), qui seront prélevées sur chaque transaction réalisée via la Plateforme, notamment lors de paiements par les Utilisateurs. Les Redevances sont les suivantes pour chaque Service :

. Un minimum de 20% avec un minimum de EUROS 20.

10.2. Modalités de paiement. Sauf mention contraire, les Redevances sont payables immédiatement. Les Redevances sont non remboursables, même en cas de résiliation anticipée par le Professionnel. Le paiement s’effectue automatiquement par la plate-forme.

10.3. Taxes. Tous les montants mentionnés s'entendent hors taxes. La TVA et tout autre impôt applicable seront ajoutés et facturés en sus, conformément à la législation en vigueur.

11. Protection des données

11.1. Politique de confidentialité. MyEntourage Sàrl a mis en ligne une politique de confidentialité, accessible [lien], qui décrit comment les données personnelles sont collectées par le biais de la Plateforme et à quelles fins. Cette politique de confidentialité fait partie intégrante des présentes CG-Professionnels.

11.2. Conformité. MyEntourage Sàrl et le Professionnel se conforment pleinement à leurs obligations respectives en vertu des lois et réglementations applicables en matière de protection des données.

12. Confidentialité

12.1. Engagement de confidentialité. Chacune des Parties s’engage à garder strictement confidentielles toutes les informations non publiques échangées dans le cadre de leur relation contractuelle.

Ces informations ne doivent, sauf accord écrit préalable de la Partie divulgatrice, être communiquées à aucun tiers. Cette obligation ne s’applique pas aux informations (i) qui étaient déjà accessibles au public sans violation du présent engagement ; ou (ii) dont la divulgation est requise par une décision judiciaire ou administrative, ou par une obligation légale, à condition que la Partie destinataire en informe préalablement et sans délai la Partie divulgatrice (sauf si cela est légalement interdit), et qu’elle prenne toutes les mesures raisonnables pour en limiter la portée et préserver leur caractère confidentiel.

L’obligation de confidentialité demeure en vigueur pendant toute la durée d’utilisation de la Plateforme et des Services par le Professionnel, et pour une période de 5 ans à compter de la fin de cette utilisation, quelle qu’en soit la cause (désinscription, résiliation de l’abonnement, suppression du compte, etc.).

12.2. Données des Utilisateurs. Le Professionnel est tenu de respecter la stricte confidentialité des données personnelles, sensibles ou médicales (le cas échéant) des Utilisateurs qu’il traite dans le cadre des Services. Cette obligation de confidentialité couvre notamment :

· les données d’identification et de contact des Utilisateurs ;

· tout contenu échangé lors des séances ou consultations (qu’elles aient lieu en ligne ou en présentiel), y compris les éléments partagés oralement, par écrit, via des fichiers, ou enregistrés sous quelque forme que ce soit ;

· les notes, observations ou tout autre contenu généré dans le cadre de l’accompagnement du ou des Utilisateurs.

Le Professionnel s’engage à ne pas divulguer, transférer ou exploiter ces informations à d’autres fins que la réalisation des prestations autorisées sur la Plateforme. Toute divulgation non autorisée ou manquement à cette obligation constitue une violation des présentes CG-Professionnels et pourra entraîner :

· des sanctions contractuelles (telles que la suspension ou la suppression du compte),

· ainsi que des poursuites civiles ou pénales conformément au droit suisse applicable.

13. Marketing et publicité

13.1. MyEntourage Sàrl peut communiquer que le Professionnel est un utilisateur de la Plateforme. Le Professionnel accorde à MyEntourage Sàrl une licence limitée pour utiliser son nom, ses logos et ses marques déposées dans le seul but de s'y référer dans le cadre de ses activités de marketing.

14. Garanties de MyEntourage Sàrl

14.1. Les Services sont fournis « en l’état » et « selon leur disponibilité ».

14.2. Dans la limite du droit applicable, MyEntourage Sàrl n’offre aucune garantie, expresse ou implicite, légale ou contractuelle, relative aux Services, notamment en ce qui concerne :

· leur qualité, leur performance ou leur adéquation à un usage particulier du Professionnel ;

· leur accessibilité continue ou leur fonctionnement sans interruption ni erreur ;

· la correction de tout défaut ou dysfonctionnement ;

· la compatibilité permanente des Services avec des outils, systèmes ou produits tiers, même s’ils ont pu l’être antérieurement ;

· la disponibilité ininterrompue ou inchangée des Services dans le temps, y compris la disponibilité de certains modèles d’abonnement ou de fonctionnalités spécifiques.

15. Responsabilité de MyEntourage Sàrl

15.1. PRINCIPE. DANS LA LIMITE DU DROIT APPLICABLE, MYENTOURAGE SARL DECLINE TOUTE RESPONSABILITE POUR LES DOMMAGES DIRECTS OU INDIRECTS SUBIS PAR LE PROFESSIONNEL OU PAR DES TIERS, RESULTANT NOTAMMENT D’UNE SIMPLE NEGLIGENCE, QUE CE SOIT DE SA PART OU DE CELLE DE SES PRESTATAIRES, PARTENAIRES OU SOUS-TRAITANTS. MYENTOURAGE SARL NE POURRA ETRE TENUE RESPONSABLE QU’EN CAS DE FAUTE GRAVE OU DE DOL AVERE DE SA PART.

EN PARTICULIER, MYENTOURAGE SARL N’EST PAS RESPONSABLE EN CAS DE SIMPLE NEGLIGENCE, NI DES DOMMAGES OU PERTES INDIRECTS, CONSECUTIFS, IMPREVISIBLES OU MEDIATS, QU’ELLE AIT OU NON ETE INFORMEE DE LEUR POSSIBILITE. CETTE EXCLUSION S’APPLIQUE A TOUT DOMMAGE LIE, DIRECTEMENT OU INDIRECTEMENT, A L’UTILISATION, A L’EXECUTION, OU A L’INEXECUTION DES SERVICES OU DE TOUTE AUTRE PRESTATION PROPOSEE PAR MYENTOURAGE SARL, QUELLE QUE SOIT LA NATURE DE L'ACTION OU DE LA RECLAMATION.

15.2. Intermédiaire. MyEntourage Sàrl agit exclusivement comme intermédiaire entre les Utilisateurs et les Professionnels. À ce titre :

· elle ne fournit aucune prestation de soin, de thérapie, de coaching ou de bien-être ;

· elle ne garantit ni la qualité, ni l’efficacité, ni la légalité des prestations fournies par les Professionnels ;

· elle n’est pas responsable des conséquences d’une mauvaise évaluation du Professionnel par un Utilisateur, ni des différends, litiges ou dommages survenant entre ces deux parties ;

· toute réclamation relative à une prestation doit être adressée directement au Professionnel concerné.

15.3. Utilisation des Services. L'utilisation des Services se fait entièrement sous la responsabilité exclusive du Professionnel. MyEntourage Sàrl ne donne aucune garantie quant aux résultats ou décisions découlant de l’utilisation des Services. Elle n’est pas responsable :

· des dommages résultant d’une utilisation non conforme ou contraire aux présentes Conditions Générales ;

· ni de l’usage illicite ou abusif des Services par le Professionnel.

Le Professionnel reste entièrement responsable vis-à-vis des Utilisateurs, et exerce son activité en toute indépendance, conformément aux obligations légales, déontologiques et réglementaires qui lui sont applicables.

15.4. Utilisation d'Internet. L'utilisation d'Internet comporte des risques, notamment celui que les données transmises soient interceptées, modifiées ou supprimées. En utilisant la Plateforme, le Professionnel accepte ces risques. MyEntourage Sàrl décline toute responsabilité à cet égard. MyEntourage Sàrl ne saurait être tenue responsable de l’indisponibilité temporaire ou permanente des Services due à des causes techniques, à des opérations de maintenance ou à des événements échappant à son contrôle.

15.5. Limitation de responsabilité. Dans la limite du droit applicable, la responsabilité totale de MyEntourage Sàrl, pour toute période de 12 mois, est limitée au montant total des redevances effectivement payées par le Professionnel au cours des 12 mois précédant l’événement dommageable.

15.6. Auxiliaires. Les exclusions et limitations prévues au présent art. 15 s'étendent aux administrateurs, dirigeants, employés, représentants, sous-traitants et auxiliaires de MyEntourage Sàrl.

16. Indemnisation

16.1. INDEMNISATION. LE PROFESSIONNEL S'ENGAGE A DEFENDRE, A DEGAGER DE TOUTE RESPONSABILITE ET A INDEMNISER MYENTOURAGE SARL, SES ADMINISTRATEURS, DIRIGEANTS, EMPLOYES, SOUS-TRAITANTS ET AUXILIAIRES, DE TOUTE RESPONSABILITE, PERTE, COUT, DOMMAGE OU DEPENSE, Y COMPRIS LES HONORAIRES D'AVOCAT, RESULTANT :

• DE L'UTILISATION PAR LE PROFESSIONNEL DES SERVICES AUTREMENT QUE DE LA MANIERE AUTORISEE PAR LES PRESENTES CG-PROFESSIONNELS ET EN STRICTE CONFORMITE AVEC TOUTE DOCUMENTATION FOURNIE POUR LES SERVICES ;

• DE L’EXERCICE PAR LE PROFESSIONNEL OU SON PERSONNEL, DE LEUR PROFESSION, NOTAMMENT DE TOUTE PRETENTION DE PATIENTS.

16.2. PROCEDURES D'INDEMNISATION. EN CAS DE RECLAMATIONS OU DE PROCEDURES ENGAGEES A L'ENCONTRE DE MYENTOURAGE SARL, DE SES ADMINISTRATEURS, DIRIGEANTS, EMPLOYES, SOUS-TRAITANTS OU AUXILIAIRES EN RELATION AVEC L'UTILISATION DES SERVICES PAR LE PROFESSIONNEL, MYENTOURAGE SARL (I) EN INFORMERA LE PROFESSIONNEL SANS DELAI EXCESSIF; ET (II) PERMETTRA AU PROFESSIONNEL D'ASSISTER MYENTOURAGE SARL DANS LA DEFENSE ET LE REGLEMENT DE CES RECLAMATIONS OU PROCEDURES AVEC UN AVOCAT DE SON CHOIX ET A SES PROPRES FRAIS, SI ET COMME LE PERMETTENT LES REGLES DE PROCEDURE APPLICABLES.

17. Durée et résiliation

17.1. Entrée en vigueur. Les présentes CG-Professionnels entrent en vigueur dès leur acceptation par le Professionnel lors de son inscription ou de sa première utilisation des Services de la Plateforme.

17.2. Durée. L’accès aux Services est accordé tant et aussi longtemps que le Professionnel est inscrit sur la Plateforme et en remplit les conditions.

17.3. Résiliation. Chaque Partie peut résilier l’inscription du Professionnel sur la Plateforme à tout moment, moyennant un préavis de 20 jours ouvrables avant la fin de la période en cours. Le Professionnel peut exercer son droit de résiliation :

•  via l’outil de gestion disponible dans son espace personnel sur la Plateforme ;

•   ou en adressant une demande à l’aide du [formulaire de résiliation] disponible ici : [lien]

17.4. Résiliation pour justes motifs. MyEntourage Sàrl se réserve le droit de suspendre ou de mettre fin à l’accès à la Plateforme et aux Services, avec effet immédiat, en cas de violation grave des présentes Conditions Générales par le Professionnel. Si la violation peut raisonnablement être corrigée, un préavis écrit de 7 jours sera adressé au Professionnel pour y remédier. En l’absence de correction satisfaisante dans ce délai, la résiliation prendra effet de plein droit.

MyEntourage Sàrl pourra également résilier l’accès du Professionnel en cas de risque ou de constat de violation des droits de tiers (notamment en matière de propriété intellectuelle, données personnelles ou concurrence déloyale), résultant de l’utilisation des Services.

17.5. Effets de la résiliation. En cas de résiliation ou de non-renouvellement de l’abonnement du Professionnel, et sans préjudice des autres dispositions prévues dans les présentes Conditions Générales :

• MyEntourage Sàrl mettra fin à la fourniture des Services, et le Professionnel cessera immédiatement toute utilisation de la Plateforme ;

•  tous les droits d’accès et d’utilisation accordés au Professionnel prendront automatiquement fin ; ses identifiants seront désactivés et supprimés ;

•  les redevances déjà versées resteront acquises à MyEntourage Sàrl et ne seront pas remboursées. Le Professionnel devra s’acquitter sans délai de toute somme encore due ;

• les dispositions des présentes Conditions Générales qui, par leur nature, doivent continuer à s’appliquer (notamment celles relatives à la confidentialité, à la protection des données, aux obligations financières et à la limitation de responsabilité) resteront en vigueur.

18.Divers

18.1. Indépendance. Les Parties sont indépendantes l'une de l'autre, et aucune des Parties n'a le droit ni l'autorité d'engager ou obliger l'autre. Aucune disposition des présentes CG-Professionnels ne saurait être interprété comme créant un contrat de travail, un mandat, une relation d’agence ou un contrat de société simple ou toute autre forme d’association entre les Parties.

18.2. Sous-traitants. MyEntourage Sàrl peut faire appel à des sous-traitants pour la fourniture des Services. Le recours à des sous-traitants par MyEntourage Sàrl ne le libère pas de ses obligations en vertu des présentes, qui sont imposés aux sous-traitants.

18.3. Force majeure. Aucune des Parties ne peut être considérée en défaut si l’exécution de ses obligations (à l’exception de ses obligations de paiement), en tout ou partie, est retardée ou empêchée par suite d’une situation de force majeure telle qu'une catastrophe naturelle d’une intensité particulière, guerre, épidémie, émeute, grève, hacking ou panne électrique ou du réseau Internet, ou tout autre cause raisonnablement hors de son contrôle.

18.4. Modification. MyEntourage Sàrl se réserve le droit de modifier les présentes CG-Professionnels, par écrit en version courriel. En l'absence de résiliation, ces modifications prendront effet au début de la prochaine période de renouvellement.

19. Droit applicable et for

19.1. Droit applicable Les présentes CG-Professionnels et la fourniture des Services sont régis par le droit matériel suisse, à l'exclusion de ses règles de conflit de lois.

19.2. For. Tout litige se rapportant aux CG-Professionnels ou aux Services sera soumis à la compétence exclusive des tribunaux compétents au siège de MyEntourage Sàrl, en Suisse.
