PREAMBLE — PROFESSIONAL INDEPENDENCE

The Professional operates on the Platform as an independent service provider, in the context of an activity carried out on their own account, whether as a primary or secondary occupation. They freely determine their schedules and methods of intervention, subject only to the quality standards, ethical rules applicable to their profession and these General Terms and Conditions.

This contractual relationship does not in any way create a legal relationship of subordination between the Parties. In particular, it does not establish:

an employment contract within the meaning of the Swiss Code of Obligations (art. 319 ff CO) or any other applicable legislation;

an employer-employee relationship, a principal-commercial agent, agency or representative relationship;

any other form of association or partnership between the Parties.

The Professional conducts their activity from their own professional environment, with their own tools and methods. They retain full control over their schedule, their clientele outside the Platform, and the organisation of their professional practice. They are free to carry out their activity for other clients, platforms or employers without any exclusivity restriction.

MyEntourage Sàrl acts exclusively as a technical intermediary. It gives no instructions on the content or method of the Professional's services.

Art. 1 — Purpose

This online platform (the "Platform") facilitates the connection between wellness, therapy, coaching, and yoga professionals (the "Professionals") and users (the "Users") seeking services in these fields. The Platform is operated under the protected brand name "SuperMe" by MyEntourage Sàrl, a Swiss limited liability company registered under number CHE-410.574.084. The SuperMe trademark is registered in Switzerland (IPI No. 829678), in the European Union (EUIPO, granted 3 February 2026) and in the United Kingdom (UK IPO, granted 23 October 2025). Currently, access to the Platform is restricted to: yoga teachers; coaches (life coaching, executive coaching, wellness coaching and parenting); and therapists.

Art. 2 — Acceptance of the General Terms and Conditions

These general terms and conditions are applicable to the Professionals ("GTC-Professionals"). By registering on the Platform and fully completing the registration process, the Professional expressly acknowledges having read, understood, and accepted to be bound by these GTC-Professionals. The General Terms of Service applicable to Users ("GTC-Users") are available at: app.mysuperme.com/cgu.

Art. 3 — Access Conditions

Only individuals or legal entities authorised to practise the profession(s) for which they register on the Platform may register and use the Platform as a Professional. These categories may evolve at any time according to criteria defined at the discretion of MyEntourage Sàrl. If the registered Professional is a legal entity, any use of the Platform by one of its employees, agents or representatives constitutes acceptance of these GTC-Professionals.

Art. 4 — Right of Access and Use of the Platform

Principle. Subject to the Professional's compliance with all of their obligations, MyEntourage Sàrl grants the Professional a revocable, non-exclusive, and non-transferable right to access the Platform and the Services in strict compliance with these GTC-Professionals for their own account and personal use only.

No Delivery. The Platform is provided as a SaaS service; therefore, MyEntourage Sàrl only grants the Professional a right of access and use and does not deliver any copy of the Platform.

Developments and modifications. MyEntourage Sàrl may make modifications to the Platform or Services. These developments will automatically become part of the Platform. The Professional is notified of material changes by email with 30 days' prior notice.

Art. 5 — Professional User Account

Account. In order to access and use the Platform, the Professional must have created a Professional User Account and be logged into this Account.

Information and supporting documents. The Professional undertakes to provide accurate and complete information regarding their identity, education and professional qualifications, and to keep this information up to date. They undertake to provide, upon first request: a copy of a diploma or certificate; a curriculum vitae; a sworn statement; for therapists: a compliance certificate and proof of professional liability insurance; any other document required by MyEntourage Sàrl.

In the event that the Professional provides false, inaccurate, outdated, incomplete, or misleading information, MyEntourage Sàrl may immediately without notice or compensation suspend or terminate the Professional User Account.

Confidentiality. The Professional is responsible for the confidentiality of their credentials and must immediately inform MyEntourage Sàrl of any loss or unauthorised disclosure.

Art. 6 — Special Conditions of Services

Services. The Services provided by MyEntourage Sàrl include notably: connecting with Users; managing appointments (online or in-person); organising teleconsultations via integrated tools; billing and administrative tracking; visibility on the Platform through a personalised profile; access to resources and professional support services; any other complementary service offered by MyEntourage Sàrl.

Maintenance and availability. MyEntourage Sàrl undertakes to provide maintenance services for the Platform. MyEntourage Sàrl strives to maintain the availability of the Platform and Services, without guaranteeing it.

Art. 7 — Obligations of the Professional

Payment of Fees. The Professional must pay the Fees in accordance with the conditions set out in Art. 10.

Legal, Regulatory and Professional Compliance. The Professional undertakes to comply with all laws, regulations, and ethical obligations applicable to the exercise of their activity, and declares that they hold the required authorisations and qualifications.

Use of Services. The Professional is prohibited, without prior written authorisation from MyEntourage Sàrl: from using the Services for illegal purposes; from using the Services for the benefit of third parties; from attempting to copy, modify or distribute any part of the Services; from introducing any malicious software into the Platform; from accessing the Platform's source code; from using any part of the Services to create a competing product.

Specific Professional Obligations. The Professional undertakes to: provide quality services in accordance with the ethical rules of their profession; strictly respect appointments made with Users; refrain from accepting a service in a conflict of interest situation and inform MyEntourage Sàrl without delay; take appointments with Users exclusively via the Platform unless prior written authorisation; ensure that their profile information is accurate, complete and up to date.

Freedom of organisation.

The Professional freely determines their work organisation, availability, the location from which they carry out their activities, and the professional tools they use — with the exception of the booking and communication tools integrated into the Platform. They are subject to no minimum availability requirement, exclusivity obligation, or schedule imposed by MyEntourage Sàrl. They are free to carry out their activity for other clients or platforms without restriction.

✦ CLAUSE NOUVELLE v2.1 — Professional liability insurance extended to all Professionals

Professional liability insurance.

Every Professional providing services via the Platform is required to take out and maintain, throughout the duration of their registration, professional liability insurance (PLI) covering their specific activity in the countries where they practise, regardless of their field (therapy, coaching, yoga or other). An up-to-date insurance certificate shall be transmitted to MyEntourage Sàrl upon request, and at least annually.

✎ CLAUSE AMENDÉE v2.1 — Platform unavailability — Commission not due

Platform technical unavailability.

In the event of Platform unavailability attributable to MyEntourage Sàrl during a confirmed and previously booked session, the Commission referred to in Art. 10 will not be deducted from that session. The session will be offered for rescheduling at no cost to the Professional or the User. The Professional is authorised, in this sole case of proven Platform unavailability, to contact the User by any available means for the sole purpose of managing the cancellation or rescheduling of the affected session.

✎ CLAUSE AMENDÉE v2.1 — Non-solicitation — Clarification on spontaneous inbound contact

Non-solicitation.

The Professional expressly undertakes not to solicit, contact, divert or directly conclude a service with a User met or identified through the Platform, for the entire duration of their access to the Platform and Services and for a period of twelve (12) months following the last service performed via the Platform. This prohibition applies regardless of the means of contact used, without using the booking tools integrated into the Platform, including if the Professional acts in an individual capacity, on behalf of a third party, or a separate legal entity.

This clause targets active solicitation by the Professional. It does not apply where the User spontaneously contacts the Professional outside the Platform, provided that the Professional has not encouraged or facilitated such direct contact, and informs MyEntourage Sàrl without delay.

In case of violation, MyEntourage Sàrl shall be entitled to claim a lump sum compensation equivalent to the total estimated amount of the services concerned, with a minimum of CHF 500 per infringement, without prejudice to any other damages.

The obligation to write an anonymous session report for MyEntourage Sàrl has been removed

as it constitutes an indicator of legal subordination contrary to independent contractor status.

Professional feedback is encouraged on a fully voluntary basis via the personal account area.

✦ CLAUSE NOUVELLE v2.1 — Ratings challenge procedure

Challenging ratings.

The Professional may challenge any rating or review left by a User that they consider abusive, defamatory, in bad faith, or not reflecting the quality of their service (for example a rating concerning connection quality or dissatisfaction unrelated to the service itself), by sending a reasoned request to support@mysuperme.com within 30 days of the review being published.

MyEntourage Sàrl undertakes to examine any challenge within 15 business days. Where a review is deemed abusive or contrary to the GTC-Users, MyEntourage Sàrl will take appropriate moderation measures, up to and including removal of the review. MyEntourage Sàrl remains the sole judge of any moderation decision.

Security measures. The Professional must protect against the risks of data loss or hacking by using regularly updated antivirus software and must observe strict confidentiality regarding access methods to the Services.

Education and authorisations. The Professional is required to possess and maintain the necessary authorisations for their use of the Services.

Art. 8 — Intellectual Property of MyEntourage Sàrl

Principle. MyEntourage Sàrl remains the exclusive owner of all copyrights, databases, trademarks (including "SuperMe", WIPO No. 1867119, IPI Switzerland No. 829678), domain names, designs, patents, know-how, trade secrets, and all other intellectual property rights related to the Platform and Services. No provision of these GTC-Professionals constitutes a transfer of these rights to the Professional.

Notification of violations. If the Professional becomes aware of a violation or imminent risk of violation of any intellectual property rights related to the Services, they must immediately inform MyEntourage Sàrl.

Third-party claims. If a third party asserts claims related to the use of the Services by the Professional, MyEntourage Sàrl may, at its discretion: (i) acquire the necessary rights; (ii) modify the relevant Services; (iii) replace the relevant Services; or (iv) withdraw the Professional's access rights, in which case MyEntourage Sàrl will reimburse fees already paid for the relevant Services.

Art. 9 — Third-party content and integrations

✎ CLAUSE AMENDÉE v2.1 — Clarification of liability for third-party services

Third-party content.

Certain Services offered via the Platform integrate content, software, or functionalities provided by third-party partners or providers (notably payment interfaces, videoconferencing tools and email systems). The Professional agrees to comply with the applicable terms of use of these third-party services.

MyEntourage Sàrl's liability cannot be engaged in respect of the content or conduct of these third-party services, as MyEntourage Sàrl does not exercise editorial control over them. The Professional is responsible for their use of integrations activated from their Account, and not for functionalities imposed by MyEntourage Sàrl in the normal performance of the Services.

Art. 10 — Financial Conditions

✎ CLAUSE AMENDÉE v2.1 — Commission 25% — Payment flow clarified

Fees — Payment flow.

The payment flow operates as follows:

1. The User pays the full session amount directly to the Platform, before or at the time of booking.

2. MyEntourage Sàrl deducts a service commission (the "Commission") from the VAT-inclusive amount of each transaction.

3. MyEntourage Sàrl remits the net balance (total amount minus the Commission) to the Professional in accordance with the agreed payment terms.

As an indicative figure at the date these terms come into force, the Commission is 25% of the VAT-inclusive amount of the service, with a minimum of EUR 20 per session. MyEntourage Sàrl reserves the right to modify this rate with 30 days' email notice to the Professional. In the absence of termination within this period, the new rate is deemed accepted.

The Commission remunerates: access to technological tools, matching with Users, payment management and guarantee, invoicing and administrative tracking, and visibility on the Platform. It does not constitute remuneration paid by MyEntourage Sàrl to the Professional, but a deduction from the fees that the Professional freely invoices to their clients.

Payment Terms. Fees are non-refundable, even in the event of early termination by the Professional. Payment is made automatically by the integrated payment platform. Exception: where Platform unavailability attributable to MyEntourage Sàrl occurs during a confirmed session, the Commission on that session is not due (see Art. 7).

Taxes. All amounts mentioned are exclusive of taxes. VAT and any other applicable tax will be added and invoiced in addition. The minimum of EUR 20 referred to above is also exclusive of taxes.

Art. 11 — Data Protection

Privacy Policy. MyEntourage Sàrl has posted a privacy policy, accessible at app.mysuperme.com/privacy, which describes how personal data is collected through the Platform and for what purposes. This privacy policy is an integral part of these GTC-Professionals.

Compliance. MyEntourage Sàrl and the Professional fully comply with their respective obligations under applicable data protection laws, including the GDPR, the Swiss revFADP and, for Professionals operating in the United Kingdom, the UK GDPR.

Art. 12 — Confidentiality

Confidentiality Undertaking. Each Party undertakes to keep strictly confidential all non-public information exchanged within the framework of their contractual relationship. This obligation remains in effect for a period of 5 years from the end of the Professional's use of the Platform.

User Data. The Professional is required to maintain strict confidentiality of personal, sensitive, or medical data of Users that they process within the framework of the Services, covering identification data, session content, and notes. Any unauthorised disclosure constitutes a violation of these GTC-Professionals and may result in contractual sanctions and civil or criminal proceedings.

Art. 13 — Marketing and Advertising

MyEntourage Sàrl may communicate that the Professional is a user of the Platform. The Professional grants MyEntourage Sàrl a limited, revocable and non-transferable licence to use their name, logos and trademarks solely for marketing reference purposes. The Professional may revoke this licence at any time by written notice to support@mysuperme.com, with effect within 15 business days.

Art. 14 — MyEntourage Sàrl Warranties

The Services are provided "as is" and "as available". To the extent permitted by applicable law, MyEntourage Sàrl offers no warranty, express or implied, regarding the quality, continuous accessibility, correction of defects, permanent compatibility with third-party tools, or uninterrupted availability of the Services over time.

Art. 15 — Liability of MyEntourage Sàrl

TO THE EXTENT PERMITTED BY APPLICABLE LAW, MYENTOURAGE SARL DISCLAIMS ALL LIABILITY FOR DIRECT OR INDIRECT DAMAGES SUFFERED BY THE PROFESSIONAL OR THIRD PARTIES, RESULTING IN PARTICULAR FROM SIMPLE NEGLIGENCE. MYENTOURAGE SARL CAN ONLY BE HELD LIABLE IN CASE OF GROSS NEGLIGENCE OR PROVEN FRAUD ON ITS PART.

Intermediary. MyEntourage Sàrl acts exclusively as an intermediary between Users and Professionals. It does not provide any care, therapy, coaching or wellness services and does not guarantee the quality, effectiveness or legality of services provided by Professionals.

✎ CLAUSE AMENDÉE v2.1 — Best efforts obligation — Not an obligation of result

Best efforts obligation.

The Professional is bound by a best efforts obligation and not an obligation to achieve a specific result in the delivery of their services. MyEntourage Sàrl does not guarantee or imply to Users that any particular outcome will be achieved following sessions. The GTC-Users expressly state that results vary from one individual to another and that no specific outcome is guaranteed. In the event of a User claim based on lack of results, the Professional's liability may only be engaged where a fault in the means employed is demonstrated.

Limitation of liability. The total liability of MyEntourage Sàrl, for any 12-month period, is limited to the total amount of fees actually paid by the Professional during the 12 months preceding the damaging event.

Auxiliaries. The exclusions and limitations in this article extend to the directors, officers, employees, representatives, subcontractors and auxiliaries of MyEntourage Sàrl.

Art. 16 — Indemnification

THE PROFESSIONAL AGREES TO DEFEND, HOLD HARMLESS, AND INDEMNIFY MYENTOURAGE SARL, ITS DIRECTORS, OFFICERS, EMPLOYEES, SUBCONTRACTORS, AND AGENTS, FROM ANY LIABILITY, LOSS, COST, DAMAGE OR EXPENSE, INCLUDING ATTORNEY'S FEES, ARISING FROM: (i) THE PROFESSIONAL'S USE OF THE SERVICES OTHER THAN AS AUTHORISED BY THESE GTC-PROFESSIONALS; (ii) THE PRACTICE BY THE PROFESSIONAL OR THEIR STAFF OF THEIR PROFESSION, INCLUDING ANY CLAIM BY A CLIENT OR COACHEE IN CONNECTION WITH THE SERVICES PROVIDED.

Art. 17 — Duration and Termination

✎ CLAUSE AMENDÉE v2.1 — Removal of all references to a fixed-term subscription or period

Effective Date. These GTC-Professionals shall become effective upon their acceptance by the Professional during registration or their first use of the Platform Services.

Duration. Access to the Services is granted for an indefinite period, as long as the Professional is registered on the Platform and meets the conditions. There is no fixed-term subscription. Registration is for an indefinite period and may be terminated at any time in the conditions below.

Termination. Each Party may terminate the Professional's registration on the Platform at any time, subject to a 20 workable day notice. The Professional may exercise their right of termination via their personal account or by contacting support@mysuperme.com.

Conduct constituting a breach. The following notably constitute breaches of these GTC-Professionals that may justify suspension or termination: provision of fraudulent information; breach of confidentiality obligations; violation of the non-solicitation clause; conduct contrary to the professional ethics applicable to the Professional's discipline; any act likely to harm the reputation or interests of MyEntourage Sàrl.

Termination for Just Cause. MyEntourage Sàrl reserves the right to suspend or terminate access, with immediate effect, in the event of a serious breach. If the breach can reasonably be remedied, a written notice of 7 days will be sent to the Professional.

Effects of Termination. Upon termination: all access rights automatically end; fees already deducted remain with MyEntourage Sàrl. Provisions relating to confidentiality, data protection, financial obligations and limitation of liability remain in effect.

Art. 18 — Miscellaneous

Independence. The Parties are independent of each other. No provision of these GTC-Professionals shall be construed as creating an employment contract, mandate, agency relationship, or any other form of association between the Parties. The Professional carries out their activity with complete independence and under their own responsibility.

Subcontractors. MyEntourage Sàrl may engage subcontractors for the provision of the Services without being released from its obligations.

Force Majeure. Neither Party shall be deemed in default if the performance of its obligations is delayed or prevented due to a force majeure event such as a natural disaster, war, epidemic, riot, strike, hacking, or Internet network failure.

Modification. MyEntourage Sàrl reserves the right to modify these GTC-Professionals by email with 30 days' prior notice. In the absence of termination within this period, modifications take effect on the date indicated in the notification.

Art. 19 — Applicable Law and Jurisdiction

Applicable Law. These GTC-Professionals and the provision of the Services are governed by substantive Swiss law, to the exclusion of its conflict of law rules.

Jurisdiction. Any dispute relating to the GTC-Professionals or the Services shall be subject to the exclusive jurisdiction of the competent courts at the registered office of MyEntourage Sàrl in Lausanne (Vaud), Switzerland.
